01 Acceptance

By accessing apexpacifico.com or submitting a wholesale application, you agree to these terms on behalf of yourself and any company you represent. If you do not agree, please do not use this site or submit an application.

02 This site is informational

The content on this site describes our distribution capabilities and operating model. It is not an offer to sell, an offer to buy, a price quotation, or a solicitation of any transaction. No products are sold through this site and no pricing is published here.

03 Applications are not agreements

The wholesale application form is a means of introduction. Submitting it does not create any commercial relationship between us.

You confirm that the information you submit is accurate and that you are authorised to submit it for the company you name.

04 Our distribution commitments

Where we hold an authorised distribution relationship, we operate to the standards described on this site:

• Authorised sourcing. We purchase from the brand or its authorised distributor, with authorisation on file before goods move.
• MAP adherence. We observe the Minimum Advertised Price policy supplied to us in writing by the brand, as amended in writing from time to time.
• Channel conduct. We monitor the marketplace listings we participate in and act on unauthorised activity we identify.

These describe how we conduct our own operations. They are commitments to our contracted partners under the terms of those contracts, and nothing on this page creates a warranty, guarantee, or enforceable right for any third party. MAP adherence depends on the brand supplying us with a current written policy.

05 Trademarks and third parties

All brand names, product names, trademarks, and logos referenced on this site are the property of their respective owners. Reference to any brand, marketplace, or fulfilment programme — including Amazon, FBA, and Multi-Channel Fulfillment — is descriptive of the channels and services we work with. It does not imply any partnership, sponsorship, affiliation with, or endorsement by those parties, and we make no claim to their marks.

Third-party marketplaces operate under their own terms. We do not control them and are not responsible for their policies, decisions, or availability.

06 Our content

The design, text, and graphics of this site are owned by Apex Pacific Commerce LLC. You may view and print pages for the purpose of evaluating a business relationship with us. You may not copy, republish, or use them commercially without our written permission.

07 Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent information through the application form
• Use the form to send unsolicited commercial messages or automated submissions
• Attempt to gain unauthorised access to this site or its underlying systems, or to disrupt their operation
• Use this site in violation of any applicable law

We may block access or discard submissions that appear to breach this section.

We work to keep this site accurate and current, but its content is provided as is and may change without notice. We do not warrant that the site will be uninterrupted or error-free, and we may modify or withdraw any part of it at any time.

09 Limitation of liability

To the fullest extent permitted by law, Apex Pacific Commerce LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of this site or your submission of an application — even if we were advised such damages were possible.

Nothing in these terms limits liability that cannot be limited under applicable law. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

Information you submit is handled as described in our Privacy Policy, which forms part of these terms.

11 Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising from them, and you consent to that jurisdiction.

12 Changes and contact

We may revise these terms; the effective date at the top of this page reflects the most recent revision, and continued use of the site after a change means you accept it.
